2. Definitions | التعريفات

“الشركة” “Company,” “We,” “Us,” “Our” refers to ARIF AL KHAYER | يشير إلى عارف الخير
“العميل” “Customer,” “You,” “Your” refers to the individual or entity purchasing our products | يشير إلى الفرد أو الكيان الذي يشتري منتجاتنا
“المنتجات” “Products” refers to steel pipes, tubes, and related materials | يشير إلى أنابيب الصلب والمواد ذات الصلة
“الخدمات” “Services” refers to manufacturing, delivery, and customer support | يشير إلى التصنيع والتوصيل ودعم العملاء

3. Acceptance of Terms | قبول الشروط

By placing an order with ARIF AL KHAYER, you confirm that:

بتقديم طلب إلى عارف الخير، فإنك تؤكد أن:

You are legally capable of entering into binding contracts | أنت قادر قانونياً على الدخول في عقود ملزمة
You are at least 18 years of age | عمرك لا يقل عن 18 عاماً
All information provided is accurate and complete | جميع المعلومات المقدمة دقيقة وكاملة
You accept these Terms & Conditions in full | أنت تقبل هذه الشروط والأحكام بالكامل

4. Product Information | معلومات المنتج

4.1 Product Specifications | المواصفات الفنية

All products are manufactured according to ASTM A53, SASO 1011, and ISO R65 standards
جميع المنتجات مصنعة وفقاً لمعايير ASTM A53 و SASO 1011 و ISO R65
Product specifications, dimensions, and technical details are provided in good faith
يتم توفير المواصفات والأبعاد والتفاصيل التقنية بحسن نية
We reserve the right to modify specifications with prior notice
نحتفظ بالحق في تعديل المواصفات مع إشعار مسبق

4.2 Product Availability | توفر المنتجات

Product availability is subject to stock and manufacturing capacity
توفر المنتجات يخضع للمخزون وقدرة التصنيع
Custom orders are subject to separate agreements
الطلبات المخصصة تخضع لاتفاقيات منفصلة

5. Orders and Quotations | الطلبات وعروض الأسعار

5.1 Quotation Process | عملية التسعير

All quotations are valid for 30 days from the date of issue
جميع عروض الأسعار صالحة لمدة 30 يوماً من تاريخ الإصدار
Quotations are subject to availability and market conditions
عروض الأسعار تخضع للتوفر وظروف السوق

5.2 Order Placement | تقديم الطلبات

Orders can be placed via phone, email, or website
يمكن تقديم الطلبات عبر الهاتف أو البريد الإلكتروني أو الموقع الإلكتروني
Orders are confirmed once we send written confirmation
يتم تأكيد الطلبات عندما نرسل تأكيداً كتابياً
We reserve the right to accept or decline any order
نحتفظ بالحق في قبول أو رفض أي طلب

5.3 Order Modifications | تعديل الطلبات

Order modifications must be requested in writing
يجب طلب تعديلات الطلبات كتابياً
No modifications are accepted once production has commenced
لا يتم قبول أي تعديلات بعد بدء الإنتاج

5.4 Order Cancellation | إلغاء الطلبات

Cancellations must be submitted in writing
يجب تقديم الإلغاءات كتابياً
Standard orders can be cancelled before production begins
يمكن إلغاء الطلبات القياسية قبل بدء الإنتاج
Custom orders may incur cancellation fees
قد تتحمل الطلبات المخصصة رسوم إلغاء
No cancellations accepted after production starts
لا يتم قبول أي إلغاءات بعد بدء الإنتاج

6. Pricing and Payment | التسعير والدفع

6.1 Pricing | الأسعار

All prices are in Saudi Riyals (SAR) unless otherwise stated
جميع الأسعار بـ الريال السعودي (ريال) ما لم يُذكر خلاف ذلك
Prices exclude VAT and delivery charges unless specified
الأسعار لا تشمل ضريبة القيمة المضافة ورسوم التوصيل ما لم يُذكر ذلك
We reserve the right to adjust prices due to market fluctuations
نحتفظ بالحق في تعديل الأسعار بسبب تقلبات السوق

6.2 Payment Terms | شروط الدفع

Payment terms are specified in each quotation or invoice
يتم تحديد شروط الدفع في كل عرض سعر أو فاتورة
Standard payment terms: 50% advance, 50% before delivery
شروط الدفع القياسية: 50٪ مقدماً، 50٪ قبل التسليم
Accepted payment methods: Bank transfer, cash, or as agreed
طرق الدفع المقبولة: التحويل البنكي، النقد، أو حسب الاتفاق
Late payments may incur interest charges
قد تتحمل الدفعات المتأخرة رسوم فائدة

6.3 Taxes | الضرائب

All applicable taxes, duties, and levies are the customer’s responsibility
جميع الضرائب والرسوم المطبقة هي مسؤولية العميل
VAT (ضريبة القيمة المضافة) will be added to invoices as per Saudi tax regulations
سيتم إضافة ضريبة القيمة المضافة إلى الفواتير وفقاً للوائح الضريبية السعودية

7. Delivery and Shipping | التوصيل والشحن

7.1 Delivery Timeline | مواعيد التسليم

Standard products: 3-5 business days
المنتجات القياسية: 3-5 أيام عمل
Custom orders: 1-2 weeks or as specified in quotation
الطلبات المخصصة: 1-2 أسبوع أو حسب المحدد في عرض السعر
Timelines are estimates and may vary due to circumstances beyond our control
المواعيد تقديرية وقد تتغير بسبب ظروف خارجة عن إرادتنا

7.2 Delivery Terms | شروط التسليم

Delivery charges are calculated based on quantity, location, and distance
يتم حساب رسوم التوصيل بناءً على الكمية والموقع والمسافة
Delivery is made to the address provided by the customer
يتم التوصيل إلى العنوان المقدم من العميل
Customer must ensure access for delivery vehicles
يجب على العميل ضمان إمكانية الوصول لمركبات التوصيل

7.3 Risk Transfer | نقل المخاطر

Risk transfers to the customer upon delivery
تنتقل المخاطر إلى العميل عند التسليم
Customer must inspect products upon delivery
يجب على العميل فحص المنتجات عند التسليم
Any damage or discrepancies must be reported immediately
يجب الإبلاغ عن أي ضرر أو تناقضات فوراً

8. Inspection and Acceptance | الفحص والقبول

8.1 Inspection Period | فترة الفحص

Customers must inspect products within 48 hours of delivery
يجب على العملاء فحص المنتجات خلال 48 ساعة من التسليم
Any defects or discrepancies must be reported in writing immediately
يجب الإبلاغ عن أي عيوب أو تناقضات كتابياً فوراً
Acceptance is deemed complete if no complaints are received within 48 hours
يعتبر القبول كاملاً إذا لم يتم تلقي أي شكاوى خلال 48 ساعة

8.2 Claim Procedure | إجراءات الشكاوى

Claims must be submitted in writing with photographic evidence
يجب تقديم الشكاوى كتابياً مع أدلة فوتوغرافية
Products must not be used or altered before inspection is complete
يجب عدم استخدام أو تعديل المنتجات قبل اكتمال الفحص
We reserve the right to inspect products before processing claims
نحتفظ بالحق في فحص المنتجات قبل معالجة الشكاوى

9. Returns and Refunds | الإرجاع والاسترداد

9.1 Return Policy | سياسة الإرجاع

Standard products may be returned within 7 days if unused and in original condition
يمكن إرجاع المنتجات القياسية خلال 7 أيام إذا كانت غير مستخدمة وفي حالتها الأصلية
Custom-made products are non-returnable unless defective
المنتجات المخصصة غير قابلة للإرجاع إلا إذا كانت معيبة
Return shipping costs are borne by the customer unless product is defective
يتحمل العميل تكاليف شحن الإرجاع ما لم يكن المنتج معيباً

9.2 Refund Process | عملية الاسترداد

Refunds are processed within 14 days of approved returns
تتم معالجة المبالغ المستردة خلال 14 يوماً من الإرجاع المعتمد
Refunds are issued via the original payment method
يتم إصدار المبالغ المستردة عبر طريقة الدفع الأصلية
Restocking fees may apply to standard product returns (up to 15%)
قد يتم تطبيق رسوم إعادة التخزين على إرجاع المنتجات القياسية (حتى 15٪)

9.3 Non-Returnable Items | المنتجات غير القابلة للإرجاع

Custom-manufactured products | المنتجات المصنعة حسب الطلب
Products that have been installed, used, or modified | المنتجات التي تم تركيبها أو استخدامها أو تعديلها
Products damaged due to improper storage or handling | المنتجات المتضررة بسبب التخزين أو المناولة غير الصحيحة

10. Warranty | الضمان

10.1 Product Warranty | ضمان المنتج

Products are warranted to meet stated specifications at time of delivery
المنتجات مضمونة لتلبية المواصفات المذكورة في وقت التسليم
Warranty covers manufacturing defects only
الضمان يغطي عيوب التصنيع فقط
Warranty period: 6 months from delivery date
فترة الضمان: 6 أشهر من تاريخ التسليم

10.2 Warranty Exclusions | استثناءات الضمان

الضمان لا يشمل:

Damage from improper installation, use, or storage | الأضرار الناتجة عن التركيب أو الاستخدام أو التخزين غير الصحيح
Normal wear and tear | البلى والتآكل الطبيعي
Modifications or alterations by customer | التعديلات التي أجراها العميل
Use beyond product specifications | الاستخدام بما يتجاوز مواصفات المنتج
Corrosion due to environmental factors | التآكل بسبب العوامل البيئية

10.3 Warranty Claims | مطالبات الضمان

Claims must be submitted within warranty period
يجب تقديم المطالبات خلال فترة الضمان
We reserve the right to inspect products before processing claims
نحتفظ بالحق في فحص المنتجات قبل معالجة المطالبات
Remedy is limited to replacement or repair at our discretion
العلاج يقتصر على الاستبدال أو الإصلاح وفقاً لتقديرنا

11. Limitation of Liability | حدود المسؤولية

11.1 Liability Cap | الحد الأقصى للمسؤولية

Our total liability is limited to the purchase price of the products
مسؤوليتنا الإجمالية محدودة بسعر شراء المنتجات
We are not liable for indirect, consequential, or special damages
نحن غير مسؤولين عن الأضرار غير المباشرة أو التبعية أو الخاصة
This includes loss of profits, business interruption, or loss of data

11.2 Product Use | استخدام المنتج

Customers are responsible for proper product selection and use
العملاء مسؤولون عن اختيار واستخدام المنتج المناسب
We are not liable for damages from improper installation or use
نحن غير مسؤولين عن الأضرار الناتجة عن التركيب أو الاستخدام غير الصحيح
Professional installation is recommended for critical applications
يوصى بالتركيب المهني للتطبيقات الحرجة

12. Quality Standards | معايير الجودة

12.1 Certifications | الشهادات

All products meet ASTM A53, SASO 1011, and ISO R65 standards
جميع المنتجات تستوفي معايير ASTM A53 و SASO 1011 و ISO R65
Test certificates available upon request
شهادات الاختبار متاحة عند الطلب
Quality control procedures comply with international standards
إجراءات مراقبة الجودة تتوافق مع المعايير الدولية

12.2 Testing | الاختبار

Products undergo rigorous testing before delivery
تخضع المنتجات لاختبارات صارمة قبل التسليم
Additional testing can be arranged at customer’s expense
يمكن ترتيب اختبارات إضافية على نفقة العميل

13. Intellectual Property | الملكية الفكرية

All content on our website is our intellectual property
جميع المحتويات على موقعنا هي ملكيتنا الفكرية
This includes logos, designs, text, images, and technical documentation
يشمل ذلك الشعارات والتصاميم والنصوص والصور والوثائق الفنية
Unauthorized use is strictly prohibited
الاستخدام غير المصرح به محظور تماماً

14. Confidentiality | السرية

14.1 Confidential Information | المعلومات السرية

Both parties agree to maintain confidentiality of business information
يوافق الطرفان على الحفاظ على سرية المعلومات التجارية
This includes pricing, specifications, and business practices
يشمل ذلك التسعير والمواصفات والممارسات التجارية
Confidentiality obligations survive termination of business relationship
تستمر التزامات السرية بعد إنهاء العلاقة التجارية

15. Force Majeure | القوة القاهرة

We are not liable for delays or failures to perform due to circumstances beyond our reasonable control, including:

نحن غير مسؤولين عن التأخير أو الفشل في الأداء بسبب ظروف خارجة عن سيطرتنا المعقولة، بما في ذلك:

Natural disasters | الكوارث الطبيعية

16. Dispute Resolution | حل النزاعات

16.1 Governing Law | القانون الحاكم

These Terms are governed by the laws of the Kingdom of Saudi Arabia
تخضع هذه الشروط لقوانين المملكة العربية السعودية
Any disputes are subject to Saudi Arabian jurisdiction
أي نزاعات تخضع للاختصاص القضائي السعودي

16.2 Resolution Process | عملية الحل

Good faith negotiations between parties | مفاوضات حسن النية بين الأطراف
Mediation if negotiations fail | الوساطة إذا فشلت المفاوضات
Arbitration or court proceedings as last resort | التحكيم أو الإجراءات القضائية كملاذ أخير

16.3 Venue | الاختصاص المكاني

Legal proceedings will be conducted in Madinah, Saudi Arabia
ستجري الإجراءات القانونية في المدينة المنورة، المملكة العربية السعودية
Court proceedings will be in Arabic unless otherwise agreed
ستكون الإجراءات القضائية باللغة العربية ما لم يُتفق على خلاف ذلك

17. Privacy and Data Protection | الخصوصية وحماية البيانات

17.1 Data Collection | جمع البيانات

We collect information necessary to process orders and provide services
نقوم بجمع المعلومات اللازمة لمعالجة الطلبات وتقديم الخدمات
Information collected includes: name, address, contact details, and payment information
تشمل المعلومات المجمعة: الاسم والعنوان وتفاصيل الاتصال ومعلومات الدفع

18. Customer Responsibilities | مسؤوليات العميل

Customers agree to | يوافق العملاء على:

Provide accurate information for orders and delivery | تقديم معلومات دقيقة للطلبات والتسليم
Ensure proper storage and handling of products | ضمان التخزين والمناولة الصحيحة للمنتجات
Use products in accordance with specifications | استخدام المنتجات وفقاً للمواصفات
Comply with all applicable laws and regulations | الامتثال لجميع القوانين واللوائح المعمول بها
Maintain adequate insurance for products and projects | الحفاظ على تأمين كافٍ للمنتجات والمشاريع

19. Communication | الاتصال

19.1 Official Communication | الاتصال الرسمي

All official communication must be in writing
يجب أن يكون جميع الاتصالات الرسمية كتابياً
Email communication is acceptable for routine matters
الاتصال عبر البريد الإلكتروني مقبول للأمور الروتينية
Critical matters require written confirmation
الأمور الحرجة تتطلب تأكيداً كتابياً

19.2 Notices | الإشعارات

Notices should be sent to the contact information provided

Notices are effective upon receipt
